Statement of Directors

The statement of directors is an official record that must be kept in the non-profit's records, either digitally or in paper form; this is a requirement of section 20 of the Societies Act

If you can't find the statement of directors in the non-profit's records, you can download a new certified copy through your Societies Online account. Once downloaded, the statement of directors must be kept with the other official records.

In order to have an accurate statement of directors, it is essential that you maintain up-to-date filing of changes of directors through Societies Online. Non-profits are required to file changes of directors through Societies Online "promptly" under section 51 of the Societies Act. If the change of directors occurred at an AGM, you can file the change of directors with the Annual Report. Otherwise, you must file a separate change of directors through Societies Online.
